These Terms & Conditions ("Terms") govern your access to and use of the ArcheTelos platform, including the websites at archetelos.stream and app.archetelos.stream, and all associated live streams, video-on-demand, editorial content, chat, and related services (together, the "Service"), operated by Cornucopia LLC, doing business as ArcheTelos ("ArcheTelos," "we," "us," or "our"), a Wyoming limited liability company.

By creating an account, subscribing, streaming, posting a chat message, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Part A — At a Glance

This summary is provided for convenience and readability. It is not a substitute for the full Terms in Part B, which control if there is any conflict.

For everyone

• You must be 18 or older to hold an account, subscribe, or transact.
• Be lawful and respectful. No harassment, hate, threats, illegal content, spam, impersonation, or infringement of others' rights.
• We can moderate, remove content, and suspend or terminate accounts that break these Terms.
• The Service is provided "as is." Our liability is limited, and disputes are governed by Wyoming law and resolved by individual arbitration (see §14). You may opt out of arbitration within 30 days.

For members and paying viewers

• Paid tiers grant access to members-only and premium content. Subscriptions auto-renew until you cancel.
• You can cancel anytime; cancellation takes effect at the end of the current billing period. Digital content is generally non-refundable once accessed, except where the law requires otherwise.
• EU/UK consumers: by accessing digital content immediately, you agree to start performance right away and acknowledge you lose the statutory 14-day withdrawal right for that content (see §4.6).

For streamers and creators

• Streaming is application- and approval-based. Approval is at our sole discretion and can be revoked.
• You keep ownership of your content but grant us a license to host, distribute, and promote it (see §7.2).
• You're responsible for your content, your rights to use it, your conduct on air, and your taxes.
• If you monetize, revenue share, superchats, and donations are paid on the terms in §6, net of processor and platform fees, subject to a payout threshold and schedule.

For chat participants

• Chat is a shared space. Keep it clean; the prohibited-content rules in §8.3 apply to every message.
• Some chat is relayed from third-party platforms; those messages are also subject to their originating platform's rules.
• We may read, moderate, retain, and remove chat messages for safety and integrity, and we have no obligation to monitor.

Part B — Full Terms & Conditions

1. Acceptance and Changes

1.1 These Terms form a binding agreement between you and ArcheTelos. Additional posted guidelines, community rules, or product-specific terms are incorporated by reference and form part of these Terms, including the editorial standards in the Contributor Agreement, which apply to Creators and to User Content published on the Service.

1.2 We may modify these Terms at any time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by notifying account holders). Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, stop using the Service and, if applicable, cancel your subscription.

2. Definitions

• "Account" — a registered profile used to access the Service.
• "Content" — any video, audio, text, image, chat message, metadata, or other material transmitted through or made available on the Service.
• "Creator" or "Streamer" — an approved Account holder authorized to broadcast live or publish video-on-demand or editorial content.
• "Member" — an Account holder on a paid or entitled tier.
• "User Content" — Content submitted, transmitted, or published by you.
• "Superchat" — a paid message or highlighted contribution made in connection with a stream, whether processed by ArcheTelos or relayed from a third-party platform.

3. Eligibility and Accounts

3.1 Age. You must be at least 18 years old to create an Account, subscribe, stream, or make or receive payments. By using the Service you represent that you meet this requirement. The Service is not directed to children, and we do not knowingly collect personal information from anyone under 16.

3.2 Registration. You agree to provide accurate information and keep it current. You are responsible for all activity under your Account and for safeguarding your credentials. Notify us promptly at support@archetelos.stream of any unauthorized use.

3.3 One person, one identity. You may not impersonate any person or entity, misrepresent your affiliation, or maintain an Account on behalf of a suspended or terminated user.

3.4 Suspension. We may suspend, restrict, or terminate an Account at our discretion for any violation of these Terms or applicable law, or to protect the Service or its users (see §10).

4. Memberships, Access, and Billing

4.1 Tiers. The Service offers free (freemium) and paid tiers, which may include members-only live rooms, premium video-on-demand, and editorial content. Features, availability, and pricing may change; changes to recurring pricing will not take effect for your current paid term without notice.

4.2 Payment. By subscribing or purchasing, you authorize us and our payment processor(s) to charge your selected payment method for all applicable fees and taxes. You represent that you are authorized to use that payment method.

4.3 Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. You authorize recurring charges until you cancel.

4.4 Cancellation. You may cancel at any time through your Account settings. Cancellation takes effect at the end of the current billing period; you retain access until then. Unless required by law, we do not provide partial-period refunds.

4.5 Refunds. Except where required by law or expressly stated in writing, all payments are final and non-refundable, and access to digital Content is deemed delivered when it is first made available to you. No refund window is offered.

4.6 EU/UK consumers — right of withdrawal. If you are a consumer in the EU or UK, you may normally have a 14-day right to withdraw from a digital purchase. By choosing to access digital Content immediately, you expressly request that performance begin during the withdrawal period and acknowledge that you thereby lose the right of withdrawal for that Content once access has begun.

4.7 Taxes. Prices may exclude applicable taxes (such as VAT or sales tax), which we may add and collect where required.

4.8 Chargebacks. Initiating a chargeback or payment dispute without first contacting us at support@archetelos.stream may result in suspension of your Account. We reserve the right to contest chargebacks we believe are invalid and to recover associated costs.

4.9 Failed payments. If a charge fails, we may retry, suspend access, or downgrade your tier until payment is resolved.

5. Creator Application and Streaming Conduct

5.1 Application and approval. Streaming and publishing rights are granted through an application and publisher-approval process. Approval is granted at ArcheTelos's sole discretion, may be conditioned or limited, and may be revoked at any time. Being a Member does not entitle you to Creator status.

5.2 Your responsibilities. As a Creator, you are solely responsible for your Content, your on-air conduct, obtaining all rights and permissions necessary for what you broadcast (including music, footage, guests, and trademarks), and complying with all applicable laws.

5.3 Content standards. You must not stream, publish, or facilitate Content that:

• (a) is unlawful, or promotes or facilitates illegal activity;
• (b) harasses, threatens, defames, or incites violence or hatred against any person or group;
• (c) is sexually explicit, exploitative, or harmful to minors in any form;
• (d) infringes any third party's intellectual-property, privacy, or publicity rights;
• (e) contains malware, deceptive schemes, or fraud; or
• (f) violates any posted community guideline or product-specific rule, including the editorial standards in the Contributor Agreement.

5.4 Multi-platform / simulcast conduct. If you simultaneously broadcast on third-party platforms, you must comply with each platform's rules in addition to these Terms. You are responsible for your own cross-platform promotion and for any exclusivity or licensing commitments you have made elsewhere. ArcheTelos is not responsible for enforcement actions taken against you by third-party platforms.

5.5 Live rooms. Live rooms may be members-only, scheduled or ad-hoc, and subject to capacity, technical, and moderation constraints. We do not guarantee uninterrupted availability of any live feature.

5.6 Test and pre-release features. Features labeled test, beta, or preview are provided without warranty and may be changed or withdrawn at any time.

6. Creator Monetization and Revenue

6.1 Eligibility. Monetization is available only to approved Creators who complete any required onboarding, including identity and tax verification and acceptance of any supplemental creator or payout terms.

6.2 Revenue share. Where you earn from memberships, subscriptions, or other paid access attributable to your Content, ArcheTelos will pay you 70% of the applicable net revenue, "net revenue" meaning amounts actually received by ArcheTelos after deduction of payment-processing fees, refunds, chargebacks, taxes, and platform fees. Current rates and definitions are as stated in your creator dashboard or supplemental terms, which control over this summary if they differ.

6.3 Superchats and donations. Superchats and donations processed by ArcheTelos are paid to you at 70% of net amounts, on the same fee-deduction basis. Superchats or donations relayed from third-party platforms are processed and governed by those platforms and their terms, not by ArcheTelos, and ArcheTelos does not collect, hold, or owe you funds for third-party-processed contributions.

6.4 Payouts. Earnings are paid when your balance meets the payout threshold of USD $100, on a monthly basis, to the payout method you configure. You are responsible for the accuracy of your payout and tax details.

6.5 Taxes. You are responsible for all taxes on your earnings. Where required, we will collect tax information and issue tax forms (such as IRS Form 1099-K or equivalents). You are not our employee, partner, or agent; you act as an independent party.

6.6 Adjustments and clawbacks. We may withhold, offset, or reverse earnings attributable to refunds, chargebacks, fraud, or violations of these Terms.

6.7 No guarantee. We do not guarantee any level of viewership, revenue, or monetization availability, and we may modify or discontinue monetization features on reasonable notice.

7. Intellectual Property and Licenses

7.1 Our IP. The Service, including its software, design, trademarks, and ArcheTelos-produced content, is owned by ArcheTelos or its licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted.

7.2 License you grant to us. You retain ownership of your User Content. You grant ArcheTelos a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (for formatting and technical delivery), publicly perform and display, distribute, and promote your User Content in connection with operating, marketing, and improving the Service. This license continues for User Content you have made available even after termination to the extent needed for backups, legal compliance, and content others have already interacted with; you can remove your User Content going forward as described in §10.4.

7.3 Your warranties. You represent that you own or have all rights necessary to grant the license in §7.2 and that your User Content does not infringe or violate any third party's rights or any law.

7.4 Feedback. If you send us suggestions, we may use them without restriction or obligation to you.

8. Viewer and Chat Conduct

8.1 Shared space. Chat and interactive features are shared with other users. Your messages are visible to others and may be logged.

8.2 Relayed chat. Some chat displayed on the Service is relayed from third-party platforms. Those messages remain subject to their originating platform's terms in addition to these Terms. We may process chat data, including source metadata, for moderation, safety, and analytics; source platforms are not surfaced as endorsements.

8.3 Prohibited chat content. You must not post, transmit, or relay any message that:

• (a) harasses, threatens, bullies, or targets any person;
• (b) contains hate speech or incites violence or discrimination;
• (c) is sexually explicit or harmful to minors;
• (d) is spam, scams, phishing, or unsolicited advertising;
• (e) shares another person's private information without consent (doxxing);
• (f) impersonates any person or entity;
• (g) infringes intellectual-property rights or shares unlawful material; or
• (h) attempts to circumvent moderation, bans, or filters.

8.4 Moderation. We and our moderators may read, filter, hide, remove, or retain messages, and may time-out, mute, or ban participants, at our discretion. We have the right but not the obligation to monitor chat, and we are not liable for User Content posted by others.

8.5 License. You grant ArcheTelos the license in §7.2 for your chat messages, including the right to display, moderate, and retain them for safety and record-keeping.

9. Prohibited Uses (General)

You agree not to:

• violate any law or these Terms;
• access the Service by automated means except permitted feeds or APIs;
• interfere with, overload, or disrupt the Service or its security;
• reverse engineer, scrape, or resell the Service or Content except as expressly allowed;
• circumvent access controls, paywalls, or geographic restrictions; or
• use the Service to infringe, defraud, or harm others.

10. Enforcement, Suspension, and Termination

10.1 We may investigate suspected violations and take any action we deem appropriate, including removing Content, issuing warnings, restricting features, withholding earnings, and suspending or terminating Accounts.

10.2 Repeat infringers. Consistent with §11, we will terminate, in appropriate circumstances, the Accounts of users who repeatedly infringe intellectual-property rights.

10.3 You may stop using the Service and close your Account at any time; see §4.4 for the effect of cancellation on paid tiers.

10.4 On termination, your license to use the Service ends. Sections that by their nature should survive (including §§4.5, 4.8, 6.6, 7, 11–16) survive termination. We may retain and continue to display User Content as permitted in §7.2; you may request removal of your removable User Content, subject to technical and legal limits.

11. Copyright and DMCA

11.1 ArcheTelos respects intellectual-property rights and complies with the U.S. Digital Millennium Copyright Act (DMCA).

11.2 Takedown notices. If you believe Content infringes your copyright, send a written notice to our designated agent at support@archetelos.stream including: (a) your signature; (b) identification of the copyrighted work; (c) identification and location of the allegedly infringing material; (d) your contact information; (e) a statement of good-faith belief that the use is unauthorized; and (f) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act.

11.3 Counter-notices. If your Content was removed and you believe this was a mistake or misidentification, you may submit a counter-notice with the information required by the DMCA to the same agent.

11.4 Repeat infringers. We terminate repeat infringers in appropriate circumstances (see §10.2).

12. Privacy

Your use of the Service is subject to our Privacy Policy at archetelos.stream/legal/privacy, which explains how we collect, use, and share personal information, including chat and streaming data. If you are in the EU/UK, that policy describes your rights under applicable data-protection law (such as the GDPR or UK GDPR).

13. Disclaimers

13.1 The Service and all Content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage.

13.2 We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that Content is accurate or reliable. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

14. Limitation of Liability

14.1 To the maximum extent permitted by law, ArcheTelos and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility.

14.2 To the maximum extent permitted by law, ArcheTelos's total liability for all claims relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to ArcheTelos in the 12 months before the event giving rise to the claim, or (b) USD $100.

14.3 Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case, our liability is limited to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless ArcheTelos and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

16. Governing Law and Dispute Resolution

16.1 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules, except as preempted by U.S. federal law. This choice does not deprive consumers of protections that cannot be waived under the mandatory law of their country of residence.

16.2 Binding arbitration. Except for claims that qualify for small-claims court and requests for injunctive relief to protect intellectual property, any dispute will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its rules, seated in Cheyenne, Wyoming, rather than in court.

16.3 Class-action waiver. You and ArcheTelos agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

16.4 30-day opt-out. You may opt out of arbitration and the class-action waiver by sending written notice to support@archetelos.stream within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.

16.5 Mandatory consumer-protection and dispute rights under the local law of EU/UK and other consumers are unaffected to the extent they cannot be waived.

17. Miscellaneous

17.1 Entire agreement. These Terms, together with any incorporated policies and supplemental terms, are the entire agreement between you and ArcheTelos regarding the Service.

17.2 Severability. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision is modified to the minimum extent necessary.

17.3 No waiver. Our failure to enforce a provision is not a waiver of it.

17.4 Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

17.5 Force majeure. We are not liable for failures or delays caused by events beyond our reasonable control.
